1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and Concourse Tech Inc., a New York corporation doing business as Plaza Tech. By accessing or using the website located at plazatech.mom and any associated services, content, or functionality, you agree to be bound by these terms. If you do not agree to these terms in their entirety, you must not access or use our website or services.

We reserve the right to modify these terms at any time at our sole discretion. Changes become effective upon posting to this page. Your continued use of the website after any modification constitutes acceptance of the revised terms. It is your responsibility to review these terms periodically.

2. Definitions

For the purposes of these Terms of Service:

  • Services refers to the computer systems design, technology consulting, and related professional services provided by the Company.

3. Description of Services

Plaza Tech provides computer systems design and technology consulting services, including but not limited to systems architecture, cloud infrastructure engineering, cybersecurity assessment and implementation, and managed IT operations. The scope, deliverables, timeline, and fees for any specific engagement are governed by a separate written agreement — such as a Master Services Agreement, Statement of Work, or engagement letter — executed by both parties. In the event of a conflict between these Terms of Service and a separately executed written agreement, the separately executed agreement shall control.

We reserve the right to modify, suspend, or discontinue any aspect of the Website or Services, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

4. Website Use and Conduct

You agree to use the Website only for lawful purposes and in accordance with these terms. You agree not to:

  • Use the Website in any way that violates applicable federal, state, local, or international law or regulation
  • Attempt to gain unauthorized access to any portion of the Website, the server on which it is hosted, or any server, computer, or database connected to the Website
  • Introduce any viruses, malware, trojan horses, logic bombs, or other material that is malicious or technologically harmful
  • Use any robot, spider, scraper, or other automated means to access the Website for any purpose without our express written permission
  • Interfere with or disrupt the proper working of the Website or any networks connected to it

5.1 Website content

All content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof, is owned by Concourse Tech Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The Plaza Tech name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Concourse Tech Inc. or its affiliates.

5.2 Limited license

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website except as incidental to normal web browsing or with our prior written consent.

5.3 Client deliverables

Ownership and licensing of work products, deliverables, and intellectual property created in the course of a client engagement shall be governed by the terms of the applicable Master Services Agreement or Statement of Work executed between the parties. In the absence of specific provisions, the Company retains ownership of all pre-existing materials, methodologies, and tools used in the engagement, while granting the client a perpetual, royalty-free license to use deliverables created specifically for that engagement.

6. User Submissions

Any information, inquiries, feedback, project requirements, or other material you submit through the Website, including via the contact form, is governed by our Privacy Policy. By submitting information, you represent and warrant that you own or have the right to use such information and that it does not violate the rights of any third party.

We do not claim ownership of your submissions. However, by submitting information, you grant us a non-exclusive, royalty-free, worldwide license to use, store, and process that information for the purposes of responding to your inquiry, providing our Services, and improving our offerings, consistent with our Privacy Policy.

7. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, INFORMATION, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONCOURSE TECH INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Website will be uninterrupted, timely, secure, or error-free; that any defects or errors will be corrected; or that the Website or the server that makes it available is free of viruses or other harmful components. We do not make any warranties regarding the accuracy, completeness, reliability, or currency of any content on the Website.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONCOURSE TECH INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS OR THE AMOUNT YOU HAVE PAID TO THE COMPANY FOR SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the Company's liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Concourse Tech Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees — arising out of or related to your violation of these Terms of Service, your use of the Website or Services, or your infringement of any intellectual property or other right of any third party.

10. Third-Party Links and Resources

The Website may contain links to third-party websites, services, or resources that are not owned or controlled by Concourse Tech Inc. We are not responsible for the content, products, services, or practices of any third party. You acknowledge and agree that the Company shall not be liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services. We encourage you to review the terms of service and privacy policies of any third-party site you visit.

11. Confidentiality

Any confidential or proprietary information disclosed by you to the Company in the course of a client engagement shall be governed by the confidentiality provisions of the applicable Master Services Agreement or Statement of Work. Information submitted through our general contact form is treated in accordance with our Privacy Policy and shall not be deemed confidential unless otherwise agreed in writing.

12. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use the Website will cease immediately. Provisions of these terms that by their nature should survive termination — including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability — shall survive termination.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms, the Website, or the Services shall be resolved exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction of such courts and waive any objection to venue.

Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute informally by contacting the other party. If the dispute is not resolved within 30 days of such notice, either party may proceed to formal dispute resolution.

14. Force Majeure

The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, pandemic, epidemic, war, terrorism, civil unrest, labor disputes, government orders, internet service disruptions, utility failures, or third-party vendor failures.

15. Severability and Waiver

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect. The failure of the Company to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. A waiver of any breach shall not constitute a waiver of any subsequent breach.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any separately executed written agreement governing specific Services, constitute the entire agreement between you and Concourse Tech Inc. regarding the Website and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
